Swiss Company Formation (GmbH or AG): A Guide for Danes

Switzerland is associated with stability, a strong currency and competitive corporate tax rates. But it is also one of the most expensive countries in which to run a company.

GmbH or AG?

| | GmbH | AG | |---|---|---| | Minimum share capital | CHF 20,000 | CHF 100,000 (at least CHF 50,000 paid in) | | Owners publicly disclosed | Yes | No | | Typical use | SMEs | Larger businesses, holding companies |

Local director

At least one person resident in Switzerland must be authorised to sign on behalf of the company. This is the biggest practical requirement for Danes.

Tax

The combined corporate tax rate ranges from approximately 12% to 21%, depending on the canton. Zug, Lucerne and Nidwalden are among those with the lowest rates.

Who is it suitable for?

  • Danes moving to Switzerland.
  • Holding and IP structures with genuine economic substance.
  • Businesses seeking closer access to the Swiss market.

Switzerland is not in the EU, so trading with EU customers requires attention to VAT and customs duties. See our comparison of corporate tax rates in Europe.
